VaretIQ Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Veratiq Technologies LLC (“VaretIQ,” “we,” “us,” or “our”) governing your access to and use of the VaretIQ websites, applications, software, documentation, and related services (collectively, the “Service”). By checking the acceptance box, clicking the acceptance button, creating an account after these Terms are presented, or otherwise affirmatively accepting these Terms, you agree to them.

You must be at least 18 years old and legally able to enter into a contract. If you access or use the Service for a business, firm, client, or other organization, you represent and warrant that you have authority to bind that organization. In that case, “you” includes the organization.

The Service includes VaretIQ accounting, payroll, time, banking connectivity, AI-assisted features, accountant workspaces, and related workflows, together with Variatax tax-preparation and e-file workflows. These products are live services designed for business and professional use. It is not intended for personal, family, or household financial planning, consumer credit counseling, investment advice, legal advice, or tax advice.

You must provide accurate account information and keep it current. Logins are individual. You must not share credentials or allow another person to use your login. You are responsible for activity under your account and for the actions of users you authorize, including the roles and permissions you grant.

You must follow the Service’s security requirements, including multi-factor authentication, step-up authentication, session controls, and identity or authority verification where required. You are responsible for maintaining secure devices and networks, promptly revoking unnecessary access, and reporting suspected compromise or unauthorized access through the designated security or contact channel.

Business owners and workspace administrators may invite accountants, bookkeepers, employees, contractors, advisors, administrators, and other authorized users. You are responsible for deciding whom to invite, which permissions to grant, whether a person may access sensitive data or perform sensitive actions, and when access must end.

Professional users may use VaretIQ to serve multiple clients only as permitted by their plan and their professional, confidentiality, ethical, contractual, and legal obligations. VaretIQ is not a party to the relationship between a professional user and the professional user’s client, does not supervise professional users, and does not verify the scope of their authority.

Subject to these Terms, your selected plan, and applicable entitlements, VaretIQ grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes. Access to particular capabilities depends on your plan, add-ons, usage limits, role, geography, eligibility, provider acceptance, and other requirements disclosed for the capability.

Fees, billing intervals, included capabilities, usage limits, add-ons, seat counts, company counts, worker-based charges, and other entitlements are governed by the plan, order, checkout page, pricing page, or signed agreement you select. Applicable taxes, payment-processor charges, and usage-based fees may be added where disclosed or permitted by law.

If a subscription renews automatically, VaretIQ will disclose the renewal terms, billing interval, price, cancellation method, and any trial or promotional terms before obtaining billing authorization. Unless you cancel using the disclosed method before the renewal date, you authorize VaretIQ or its payment processor to charge the payment method on file for recurring fees, applicable taxes, add-ons, usage-based charges, and other amounts due.

If a trial requires a payment method and is configured to convert to a paid subscription, the conversion date and charge will be disclosed before enrollment. If no valid payment method and billing authorization are on file when a trial expires, VaretIQ will not charge you solely because the trial ended; instead, paid capabilities may end, downgrade, or become unavailable unless you separately authorize payment.

You may cancel or downgrade as described in the Service, checkout flow, order, or plan terms. Cancellation stops future recurring charges but does not create a refund right for amounts already incurred, except where required by law or expressly stated in the applicable order. Downgrades may reduce features, limits, storage, company counts, integrations, AI availability, payroll/time capabilities, professional access, or other entitlements.

If payment fails or an amount is past due, VaretIQ may retry the payment method, request updated information, suspend paid capabilities, downgrade the account, or terminate access after reasonable notice where practicable. You remain responsible for charges incurred before cancellation, downgrade, suspension, or termination.

VaretIQ may change prices, packaging, capabilities, add-ons, and limits prospectively. A material price increase for an existing paid subscription will take effect at the next renewal or as otherwise stated in the applicable notice, order, or plan terms, subject to applicable law.

As between you and VaretIQ, you retain ownership of data, records, files, documents, and other content submitted to or generated in your workspace by you or your authorized users (“Customer Content”). You grant VaretIQ a limited, non-exclusive, worldwide license to host, store, process, transmit, display, reproduce, back up, secure, analyze, and otherwise use Customer Content solely as reasonably necessary to provide, maintain, protect, troubleshoot, support, and improve the Service; deliver authorized integrations and workflows; perform customer-requested AI-assisted functions where enabled; prevent fraud, abuse, and security incidents; comply with law; and enforce these Terms.

VaretIQ will not use Customer Content for third-party advertising or sell Customer Content for a third party’s independent marketing. VaretIQ may use aggregated or de-identified information to operate, secure, and improve the Service, provided the information does not identify you, your business, your clients, or an individual and is maintained subject to applicable legal safeguards.

During your subscription and before termination, you should use supported export tools to retrieve records needed for operational, accounting, tax, legal, or record-keeping purposes. Subject to plan, account standing, security, technical feasibility, and law, VaretIQ may make supported export tools available for up to 30 days after termination, but does not guarantee perpetual Service or export access.

VaretIQ may retain Customer Content, account records, audit logs, security logs, billing records, legal records, backup copies, and de-identified information as reasonably necessary for legal, tax, accounting, security, fraud prevention, dispute resolution, audit, backup, compliance, or legitimate business purposes. Nothing requires deletion of information VaretIQ is legally required or reasonably permitted to retain.

You are responsible for the legality, accuracy, completeness, and authority of Customer Content and instructions; maintaining required source documents and records; determining the accounting, tax, payroll, employment, legal, regulatory, ownership, related-party, consolidation, and business treatment of transactions; reviewing classifications, calculations, reconciliations, reports, filings, payments, tax positions, deadlines, and business decisions; and maintaining reasonable backups or exports.

For payroll, time, worker, and benefits workflows, you are responsible for worker classification, wage-and-hour compliance, employee and contractor information, registrations, withholding elections, garnishments, benefits deductions, payroll authorizations, sufficient funding, direct-deposit authorizations, deadlines, filings, remittances, and correction of inaccurate information, except to the extent a separate signed agreement expressly assigns a specific responsibility to VaretIQ.

VaretIQ is software. VaretIQ is not a law firm, CPA firm, accounting firm, tax preparer, investment adviser, bank, payroll funding bank, money transmitter, lender, fiduciary, or custodian of funds. Use of the Service does not create an attorney-client, accountant-client, tax-adviser, fiduciary, investment-adviser, employer, payroll-agent, or similar professional relationship with VaretIQ.

Outputs, suggestions, classifications, estimates, projections, reconciliations, tax-aware guidance, AI-assisted results, reports, dashboards, and planning information support your review and workflow. They are not legal, tax, accounting, investment, employment, payroll, or financial advice and do not replace competent professional judgment.

Unless VaretIQ clearly discloses otherwise and obtains any authorization required by law or contract, Customer Content is not used to train a third-party foundation model for the provider’s independent purposes. Material accounting, payroll, payment, or filing actions require review and authorization by a human user with appropriate authority, except for an automation you expressly configure and authorize within the Service.

Banking, payment, payroll, tax-payment, identity-verification, financial-connectivity, direct-deposit, and money-movement capabilities may be provided by regulated or specialized third parties. VaretIQ may provide interfaces, workflows, transaction authorizations, accounting records, reconciliation tools, status information, and audit trails, while a provider performs underwriting, compliance review, account acceptance, identity verification, sanctions screening, fraud review, funds movement, settlement, returns, reversals, holds, account closure, tax filing, tax remittance, or other regulated functions.

VaretIQ does not hold customer funds, prefund payroll, guarantee provider acceptance, guarantee settlement timing, guarantee successful ACH or card transactions, guarantee early payroll deposits, or guarantee that a provider will accept, process, or complete a transaction. Provider outcomes may include acceptance, rejection, delay, return, reversal, hold, funding restriction, compliance request, account closure, or suspension.

You are responsible for accurate information, provider requirements, transaction authorization, sufficient funds, review of payroll and payment instructions before submission, and timely response to compliance requests. Provider terms and privacy policies may apply directly. Except to the extent caused by VaretIQ’s breach of these Terms, negligence, willful misconduct, or non-waivable legal duty, VaretIQ is not responsible for provider acts, omissions, eligibility decisions, outages, delays, holds, returns, reversals, or compliance actions.

VaretIQ offers the products and capabilities described in these Terms as live services, subject to the applicable plan, account eligibility, usage limits, provider requirements, and law. VaretIQ may modify, repackage, suspend, discontinue, or condition a capability when reasonably necessary for security, compliance, technical operation, provider requirements, or business needs, with notice where required.

The Service may support multiple companies, locations, dimensions, projects, ownership records, capital accounts, related-party activity, intercompany workflows, or consolidation-support features. These tools do not determine legal existence, ownership rights, tax classification, related-party status, transfer-pricing treatment, consolidation treatment, allocation methodology, capital-account treatment, or legal or tax consequences. You are responsible for determining the correct legal, tax, accounting, ownership, and reporting treatment.

Each party may receive non-public information from the other. The receiving party will protect it using at least reasonable care, use it only for these Terms and the Service, and disclose it only to personnel, professional advisors, and service providers who need it and are bound by confidentiality obligations. Customer Content and non-public security information are confidential information. Trade secrets remain protected for as long as they qualify as trade secrets; other confidentiality obligations survive for five years after disclosure or termination.

Confidentiality does not cover information that becomes public without breach, was lawfully known without restriction, is independently developed without the confidential information, or is lawfully received from another source without restriction. A legally compelled disclosure is permitted if the receiving party gives notice where lawful and reasonably cooperates with protective efforts.

You must not use the Service for unlawful, fraudulent, deceptive, infringing, sanctioned, or prohibited regulated activity; circumvent security, authentication, entitlement, or access controls; access unauthorized accounts, workspaces, or data; share credentials; introduce malware; interfere with infrastructure; harvest credentials; scrape or extract data by automated means without permission; upload data without authority; abuse AI functions; submit unlawful sensitive data; reverse engineer except where the restriction is unenforceable; or resell the Service except as expressly permitted.

The Service, software, interfaces, designs, documentation, and VaretIQ marks are owned by Veratiq Technologies LLC or its licensors and protected by law. Except as allowed by these Terms, you may not use the marks or Service materials without written permission. Feedback may be used worldwide, perpetually, irrevocably, and royalty-free without identifying you as its source without permission.

The Service evolves. Maintenance, updates, and outages can occur. VaretIQ does not guarantee uninterrupted or error-free availability and aims to give reasonable notice of material adverse changes where practicable. Enterprise service levels apply only if stated in a signed service-level agreement.

VaretIQ may suspend or terminate access for security risk, suspected unlawful or unauthorized use, nonpayment, material breach, provider requirement, or legal requirement. Where practicable, VaretIQ will provide notice and an opportunity to cure. You may stop using the Service in accordance with your plan or order. Provisions that by their nature should survive termination will survive.

Except as expressly stated in these Terms or a separate signed agreement, and to the maximum extent permitted by law, the Service is provided “as is” and “as available.” VaretIQ disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. VaretIQ does not warrant that the Service will be uninterrupted or error-free or that outputs will satisfy every legal, tax, payroll, or accounting requirement applicable to you. Nothing limits rights or obligations that cannot lawfully be limited.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunity, goodwill, business interruption, or loss of data that could have been avoided through reasonable backups or exports, arising from the Service, even if advised of the possibility.

VaretIQ’s aggregate liability arising from these Terms, VaretIQ, or Variatax will not exceed the greater of (a) fees actually paid to Veratiq Technologies LLC for the affected Service during the 12 months before the event giving rise to the claim, or (b) $100 for an unpaid or free-plan account. The same cap applies to claims involving confidentiality or data-security obligations, except to the extent a greater amount cannot lawfully be limited.

These limits do not apply to liability that cannot lawfully be limited, either party’s fraud or willful misconduct, your payment obligations, your unauthorized use or misappropriation of VaretIQ intellectual property, or your indemnification obligations. The caps are intended to align with Veratiq Technologies LLC’s cyber and technology E&O insurance program.

You will defend, indemnify, and hold harmless Veratiq Technologies LLC and its officers, employees, contractors, and agents from third-party claims, damages, liabilities, penalties, settlements, costs, and reasonable attorneys’ fees arising from Customer Content or instructions that violate law or third-party rights; unauthorized, fraudulent, or unlawful use; material breach of these Terms; unauthorized users or account activity; payment instructions, chargebacks, reversals, or funding-source disputes; payroll, tax, employment, professional, client, or regulatory obligations; or your violation of ACH, payment-network, or provider rules, except to the extent caused by VaretIQ’s breach or willful misconduct.

VaretIQ will provide prompt notice, reasonably cooperate at your expense, and allow you to control the defense with reasonably acceptable counsel. VaretIQ may participate at its own expense. You may not settle in a manner that admits VaretIQ fault, imposes obligations, restricts VaretIQ’s business, or fails to provide an unconditional release without prior written consent.

You consent to transact electronically. Agreements, disclosures, notices, records, consents, invoices, security notices, and other communications may be provided through the Service, by email, or electronically and satisfy writing requirements subject to law. Your affirmative electronic acceptance has the same legal effect as a handwritten signature.

VaretIQ may retain legal-document versions and acceptance evidence, including document type, version, effective date, exact content snapshot, hash, publication date, user, organization, timestamp, acceptance method and wording, source, locale, IP address, device or browser metadata, session identifier, and related security evidence.

VaretIQ may update these Terms as the Service and law evolve. Material changes will receive reasonable notice and may require affirmative reacceptance before continued signed-in use. Other changes may take effect after notice as permitted by law. The prior version remains available in VaretIQ’s legal archive.

These Terms are governed by Texas law, and the Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision. Except for eligible small-claims matters and requests for temporary or permanent injunctive relief concerning confidentiality, intellectual property, data security, or system integrity, any dispute arising from these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable commercial rules. Before starting arbitration or small-claims proceedings, the claiming party must send a written notice describing the dispute and requested relief. The parties will participate in a good-faith telephone or videoconference settlement conference, and no arbitration or small-claims filing may begin until 60 days after the notice is received. The arbitration will take place remotely or in Gregg County, Texas, at the arbitrator’s discretion. Each party waives a jury trial and agrees not to bring or participate in a class, collective, consolidated, private-attorney-general, or representative action, to the maximum extent permitted by law. The arbitrator may award any individual relief available in court, and a court located in Gregg County, Texas, or the United States District Court for the Eastern District of Texas may enter judgment on the award or hear a permitted injunctive-relief action.

Any permitted court proceeding will be brought in the state courts located in Gregg County, Texas, or the United States District Court for the Eastern District of Texas, and each party consents to personal jurisdiction and venue there.

The parties agree that the American Arbitration Association will administer the proceeding before one arbitrator. VaretIQ will pay arbitration administration and arbitrator fees beyond the filing fee that would apply to an equivalent court action, unless the arbitrator determines that a claim or requested relief was frivolous or brought for an improper purpose. The customer may bring an eligible individual claim in small-claims court. If the class-action or representative-action waiver is found unenforceable, the arbitration provision is unenforceable to that extent and the affected claim must proceed in a court of competent jurisdiction.

You may not assign these Terms without written consent. VaretIQ may assign them in connection with a merger, acquisition, financing, reorganization, or sale of assets. If a provision is unenforceable, the remainder remains effective. Failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, applicable product addenda, and your plan or order form the agreement; a signed agreement controls where it expressly conflicts. Neither party is liable for delay caused by events beyond reasonable control. Nothing waives mandatory rights.
